HOW TO REGISTER A FOREIGN COMPANY IN THE IRKUTSK OBLAST
If a foreign company decides to establish a presence in the Irkutsk
Oblast, then it must go through the routine of registration.
If a foreign company is going to set up an affiliate/branch, a joint
venture or a venture wholly owned by a foreign investor with
charter capital under 100,000 rubles, it should apply for registration
with the deputy governor of the Irkutsk Oblast, Mr. Alexei Sobol. If its
charter funds exceed 100,000 rubles, the company should apply for
registration with the Chamber of Trade Registration, the Russian Federal
Economics Ministry in Moscow, Tel: (7-095)-245-2090.
The following documents are required for registration:
- For Joint Ventures:
- Written application from the founders with a request that a new legal
entity be registered;
- Foundation documents, 2 master copies (Charter, Foundation Agreement,
Protocol of a Constituent Meeting signed by all the founders);
- From the Russian partners:
- Resolution of the owner of the property on establishing a
Joint Venture, one copy; or copies of the Resolution of an authorized
body acting on behalf of the owner;
- Foundation and Registration documents for each Russian legal
entity participating in the Joint Venture, notarized copies;
- From foreign partners:
- a notarized document regarding the solvency of the foreign
investor issued by the company's bank and including a certified
translation into Russian;
- excerpt from the trade register of the country of origin or
other proof of the foreign company's legal status under the laws of
its country;
- Permit of respective supervision organizations for certain
areas of business -- large-scale construction or reconstruction,
environmentally polluting production;
- Coordination with the district authorities (where the main
production will be established) about allocating the enterprise and its
functioning;
- For Ventures Wholly Owned by a Foreign Investor:
- Written application of the foreign investor with a request that a new
legal entity be registered;
- Foundation documents of the venture being established, 2 master copies
(Charter, Foundation Agreement, Protocol of a Constituent Meeting);
- notarized document regarding the solvency of the Foreign investor
issued by the company's bank and including a certified translation into
Russian;
- excerpt from the trade register of the country of origin or another
proof of the foreign company's legal status under the laws of its
country;
- Permit of respective supervision organizations for certain areas of
business - large-scale construction or reconstruction, environmentally
polluting production;
- Coordination with the district authorities (where the main production
will be established) about allocating the enterprise and its
functioning;
- For Affiliates of Enterprises with Foreign Investment and Affiliates
of Foreign Legal Entities:
- Written application of the head of the enterprise, establishing an
affiliate, with a request that a new affiliate be registered;
- excerpt from a competent managing body of the enterprise on the
resolution to establish an affiliate;
- Regulations on the affiliate (2 master copies);
- For an affiliate of an enterprise with foreign investment:
- notarized copies of foundation and registration documents of the
enterprise establishing an affiliate;
- For an affiliate of a foreign legal entity:
- excerpt from the trade register of the country of origin or another
proof of the Foreign company's legal status under the laws of its
country;
- Permit of respective supervision organizations for certain areas of
business - large-scale construction or reconstruction, environmentally
polluting production;
- Coordination with the district authorities (where the main production
will be established) about allocating the affiliate and its functioning;
Notes:
- Written application with a request that a new legal entity be registered
should be addressed to the chairman of the deputy governor of the Irkutsk
Oblast, Mr. Alexei Sobol. The application should contain the principal areas
of business of the enterprise being established.
- Excerpt from the trade register of the foreign partner should be notarized
in the issuing country and legalized (in the Russian Consulate in the issuing
country, in the Consulate of the issuing country in Russia, or by apostille).
The translation should be approved in a Consulate or notary office in Russia.
- Master copy, or a notarized copy of the document regarding the solvency
of the foreign partner (a recommendation letter of the company's bank) should
be submitted. The translation should be approved in a Consulate or notary
office in Russia.
- Foundation documents of the enterprise being established should be approved
by all the founders' signatures on each page of the documents.
- Prior to registration, the founders must pay the registration
fee.
